These Terms of Use (“Terms”) govern your access to and use of the Plenti platform, including its website, mobile applications, and related services (collectively, the “Platform”).

“Plenti” refers to Plenti Trading Services Limited, a subsidiary of Sujimoto Holdings Limited.

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Platform.

Where you use the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity, and both you and the entity will be bound by these Terms.

You must be at least 18 years old to use the Platform. By creating an account, you confirm that you meet this requirement.

When registering, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized access

You are solely responsible for all activities carried out under your account.

Plenti reserves the right to suspend, restrict, or terminate accounts at its discretion, particularly where there is a breach of these Terms or applicable laws.

Plenti operates an e-commerce ecosystem that facilitates:

• The listing and sale of products and services
• Logistics and delivery services
• Payment processing and transaction support

Depending on the transaction, Plenti may act either as:

• The direct seller; or
• An intermediary connecting buyers with third-party sellers

Each seller remains responsible for the products they provide.

By placing an order, you agree that:

• Product prices are as displayed at the point of purchase
• Prices include applicable taxes unless stated otherwise
• Additional charges (e.g., delivery, handling) will be clearly disclosed

Plenti requires that all products:

• Match their descriptions
• Are of acceptable quality and safe for use
• Are supplied lawfully and free from third-party claims

Product specifications, warranties, and usage details will be provided where applicable.

All payments must be made using the approved payment methods available on the Platform.

By making a payment, you confirm that:

• You are authorized to use the payment method
• The payment details provided are accurate

Plenti may engage third-party payment providers to process transactions securely.

Returns and refunds are governed by Plenti’s Returns and Refund Policy, as updated periodically.

In general:

• Returns may be accepted subject to eligibility criteria and applicable laws
• Refunds may be issued via original payment method, store credit, or other approved channels
• Certain products (e.g., digital goods or perishables) may have restricted refund eligibility

Policy updates will apply to purchases made after such updates are published.

Promotions, discounts, and store credits are subject to separate terms and may be modified or withdrawn at Plenti’s discretion.

Plenti reserves the right to revoke benefits where fraud, abuse, or misuse is suspected.

You are responsible for any content you submit or share on the Platform, including reviews, comments, and uploads.

You agree that your content:

• Is accurate and not misleading
• Does not violate any law or third-party rights
• Is not abusive, offensive, fraudulent, or harmful

You must not:

• Post false or deceptive reviews
• Attempt to bypass the Platform for transactions
• Engage in spam or unauthorized communications

Plenti reserves the right to remove or restrict any content that violates these Terms.

By submitting content, you grant Plenti a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, and distribute such content for operational and marketing purposes.

You confirm that you have the necessary rights to grant this license.

You agree not to:

• Interfere with the security or functionality of the Platform
• Engage in hacking, scraping, or unauthorized data extraction
• Introduce malicious software or harmful code
• Use automated systems without permission

Use of the Platform must comply with all applicable laws and ethical standards.

All intellectual property rights in the Platform, including content, trademarks, and software, are owned by or licensed to Plenti.

You may not reproduce, distribute, or exploit any material without prior written consent.

Your personal data will be processed in accordance with Plenti’s Privacy Policy and applicable laws, including the Nigeria Data Protection Regulation and the General Data Protection Regulation (where applicable).

By using the Platform, you consent to such processing as described in the Privacy Policy.

Plenti may conduct identity verification, fraud checks, and compliance reviews.

You agree to provide accurate information and cooperate with any lawful request for verification or regulatory compliance.

Plenti does not guarantee uninterrupted or error-free operation of the Platform.

Service interruptions may occur due to maintenance, upgrades, or events beyond reasonable control, including force majeure events such as natural disasters, cyberattacks, or regulatory changes.

To the maximum extent permitted by law:

• Plenti shall not be liable for indirect, incidental, or consequential damages
• Liability is limited to the amount paid for the specific transaction in dispute

Nothing in these Terms excludes liability where such exclusion is not permitted by law.

You agree to indemnify and hold Plenti harmless from any claims, losses, or liabilities arising from:

• Your breach of these Terms
• Your misuse of the Platform
• Your violation of any law or third-party rights

Plenti may suspend or terminate your access if:

• You breach these Terms
• Fraudulent or suspicious activity is detected
• Required by law or regulatory authority

You must not attempt to bypass any imposed restrictions.

Plenti may update these Terms from time to time. Updated Terms will take effect upon publication.

Continued use of the Platform constitutes acceptance of the revised Terms.

If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

Failure to enforce any provision does not constitute a waiver of rights.

Plenti may transfer its rights and obligations under these Terms without restriction.

You may not transfer your rights without prior written consent.

You agree to receive communications electronically, including via email or Platform notifications.

Such communications shall be deemed legally valid and properly delivered.
